Business Organization

Though often overlooked, a business entity choice can have a significant impact on a business as it grows.  Different business structures have different types of liability, transferability, and taxes for its owners.  After a careful consideration of a client’s circumstances, we will be able to recommend the best entity and file the necessary paperwork to form the entity.  We can also help in the process of obtaining financing and funding for the business operations.

Corporate Counsel

Perhaps a company is not yet big enough to afford its own corporate counsel, but we can represent and give advice as a corporate counsel would on matters as they come up.  Our clients could use us as much or as little as necessary to review their legal matters for their business.

Directors’ and Officers’ Liability

Directors and officers of a corporation have certain duties to the corporation.  If an officer or director is not careful, they may become personally liable to shareholders or others.  We can review a corporation’s bylaw and articles of corporation to give our clients an idea of the extent of their director and officer liability and if there are any provisions that require the corporation protect that individual.

Franchising and Reorganization

Sometimes businesses start off unsure on how successful they will become.  Success can require a different business structure.  If a client does not have the capital to setup multiple locations itself, it could create a franchise so others would have to come up with their own capital.  Perhaps a client wants to create multiple entities for different segments of their business to help protect the assets of the individual segments.  We can help establish a franchise or re-organize the business depending on the needs of the client.

Acquisitions, Mergers, and Divestures

As a business develops different transaction might be necessary to remain competitive.  This might include purchasing another company that would help increase the value of both.  Additionally, a client might want to merge with a company that provides complimentary products or services.  Finally, a particular business segment might prove to be unprofitable or too troublesome so it might be preferable to exit from that segment.  We can help setup and implement any of these business strategies.

Business successions

Untimely deaths or retirements can leave a business crippled if that individual is a crucial asset to the business.  Additionally, if a business is closely held, then that person’s death could result in unwanted partners or shareholders.  We can help plan a method of succession so that the business’s best interest are met including drafting buy-sell agreements to govern the succession.

Contracts

As an entity conducts business it will likely enter into many contracts.  We can review and negotiate these contracts therefore giving the client an idea of the kinds of risks or requirements are associated with an individual contract.  Occasionally, the parties to the contract will disagree whether it has been fulfilled or breached.  We can review the contract and give our clients an idea on how the court is likely to interpret the contract.  We will then argue our client’s position in court or negotiate a settlement with the opposing party.

Commercial Collections

Although most customers pay their bills, occasionally some fail to pay.  We will employ different attempts to collect these payments such as demand letters and/or filing a lawsuit to collect.  We can also conduct research to try to determine the feasibility of collecting any outstanding balance. 

Litigation

We will represent our clients to the best of our ability as soon as a lawsuit is filed.  This means giving meaningful insight into the chances of success, giving the strengths of our clients’ position, and discussing frankly the potential obstacles and weaknesses of the case.  Reaching satisfactory settlement would be our primary goal, but if no settlement could be reached then we will pursue our client’s position through a trial.

We can represent our client’s officers and directors in a suit brought by either shareholder or other third parties.  We will review the allegations and argue appropriate defenses or present evidence in favor of our client.

Employment and Labor Litigation
Sometimes an employer will be unable to rectify a problem with an employee.  Whether the employee files an EEOC complaint, violates a non-compete agreement, or has a contract dispute, we can represent our clients in court or before an administrative agency.  We will develop the case and diligently promote the position of our client.
